Acceptable Use Policy (AUP)

This Acceptable Use Policy (“AUP”) governs Customer’s access to and use of the Services provided by Company. Capitalized terms not defined herein have the meanings set forth in the applicable Master Services Agreement (“Agreement”).

1. Permitted Use

Customer may use the Services solely for lawful purposes and in accordance with the Agreement, applicable Statements of Work, and this AUP.

2. Prohibited Activities

Customer shall not, and shall not permit any third party to, use the Services to:

2.1 Illegal or Harmful Activity
  • Violate any applicable law, regulation, or court order
  • Facilitate or promote illegal activity
  • Infringe, misappropriate, or otherwise violate intellectual property or other proprietary rights
  • Transmit or store unlawful, defamatory, obscene, or abusive content
2.2 Security and Network Abuse
  • Interfere with, disrupt, or compromise the integrity or security of the Services, Company systems, or any third-party systems
  • Attempt to gain unauthorized access to accounts, data, networks, or systems
  • Conduct vulnerability scanning, penetration testing, or network probing without Company’s prior written consent

Introduce malware, ransomware, spyware, or other malicious code

2.3 Abuse of Resources
  • Engage in activity that materially degrades service performance or interferes with other customers’ use of the Services
  • Circumvent usage limits, access controls, or security safeguards
  • Use the Services for unsolicited bulk messaging (spam) or denial-of-service attacks

 

3. Customer Responsibilities

Customer is responsible for:

  • All activity conducted through Customer’s accounts and credentials
  • Maintaining the confidentiality and security of access credentials
  • Ensuring that its users, agents, and Affiliates comply with this AUP

 

4. Monitoring and Enforcement

Company reserves the right, but does not assume the obligation, to investigate suspected violations of this AUP. Company may suspend or terminate access to the Services if it reasonably determines that Customer’s use violates this AUP or poses a risk to the Services, Company, or third parties.

Where practicable, Company will provide notice and an opportunity to cure prior to suspension or termination.

 

5. No Waiver

Failure by Company to enforce this AUP shall not constitute a waiver of the right to enforce it at a later time.
